The difference is that the client transfers money to our account for buying goods. We pay for goods to the seller and import these goods to Ukraine. Then we make all related  import procedures and send the goods to the customer. The customer pays  our charges and compensates all related expenses such as  transporting costs, customs duties, etc  on the base of bill of costs for every  operation. The invoices of our partners which provide particular service are reissued to our client without changes. So,  customers can control their expenses on every stage.
    In contract of sale case the customer just buy goods from our company on the beforehand agreed prices. The admitting price will be identical since we do not resell goods but just add some extra charge for our services. In connection with constant changes in Ukrainian Tax Legislation, especially from 2011 year, commission contract can cause additional problems for account and tax management. That is why the preference is currently given to contract of sale.

Is it possible to make a contract of agency?


  1. It is quite possible and we practice it. We make foreign economic deal on behalf of our client. The customer with accordance to our recommendations sends money abroad, pays transport and customs broker`s services, transfer payments to the budget, makes all necessary contracts, etc. In this case we are totally dependent on the customer `s decisions and not always can quickly solve  appearing problems. It causes additional difficulties and delay in arranging customs clearance because this procedure is differently organized at different customs. In such cases we can involve brokers working with particular customs but it duplicates expenses. Taking into account all above mentioned factors you can see that this way of cooperation is not the best and can be used on rare occasions.

Why it is not good to use a standard mould contract

The matter is that a mould contract is only enumeration of main points which must be reflected in the contract, and putting these points into practice requires agreement of all disputable moments with the contractor and the conditions mentioned in the contract should not contradict with constantly changing legislation.
